Terms of Service

Effective [EFFECTIVE DATE]

1. About these terms

These Terms of Service ("Terms") govern access to and use of InfraLedgers (the "Service"), a web-based project-controls and document-control application for construction and infrastructure projects, provided by InfraLedgers ("we", "us").

By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you confirm you are authorized to bind that organization, and "you" includes that organization.

2. Accounts and responsibilities

You must provide accurate account information and keep your sign-in credentials confidential. You are responsible for activity under your account.

Organization administrators are responsible for inviting users, assigning roles and permissions, removing users who should no longer have access, and for the accuracy of their organization and billing details.

Notify us promptly at info@infraledgers.com if you believe your account has been accessed without authorization.

3. Authorized use

You may use the Service only for lawful business purposes related to managing project information. You must not: attempt to access data, projects or organizations you are not authorized to access; interfere with or disrupt the Service; probe, scan or test its security without our written permission; upload malicious code; resell or provide the Service to third parties except as permitted by these Terms; or use the Service in breach of any law or third-party right.

We may suspend access that we reasonably believe breaches this section or threatens the security or integrity of the Service.

4. Customer and project data

"Customer Data" means the records, files, drawings, correspondence and other information you or your users submit to the Service. As between you and us, you retain your rights in Customer Data.

You grant us a limited right to host, store, process, transmit and display Customer Data only as needed to provide, maintain and support the Service, and as otherwise directed by you or your users through the Service (for example, issuing a record to a distribution list).

You are responsible for the content of Customer Data, for having the rights needed to submit it, and for deciding who in your organization and among external collaborators receives access. Issuing a record to a contact does not by itself grant that person access to your projects.

The Service records an audit history of formal actions. Issued or submitted formal records are intentionally preserved and may not be editable or deletable.

You are responsible for maintaining any copies of Customer Data you require for your own records.

5. Subscriptions and billing

New organizations may start on a single free 30-day pilot, without a payment card, with the limits shown on our pricing page. The pilot period runs from when your first organization is created and is not restarted by creating further organizations or by changing or cancelling a subscription. A pilot does not convert to a paid plan automatically. When a pilot ends without a paid subscription, the organization's projects become read-only; data is retained subject to section 8.

Paid plans are billed per organization on a recurring monthly basis through our third-party payment processor, Stripe, at the prices, billing currency and limits displayed at the time of purchase. Paid plans do not include a trial period: billing begins immediately when you subscribe, and subscriptions renew automatically each month until cancelled.

If a payment fails, the organization's projects may become read-only until payment is brought up to date. Applicable taxes may be added. Any converted amounts shown on our website in other currencies are estimates only; you are charged in the billing currency shown at checkout, and your bank's conversion rates and fees may differ. Except where required by law, fees are non-refundable.

We may change prices or plan limits on reasonable advance notice; changes apply from your next billing period.

6. Availability and support

We aim to keep the Service available and working as described, but it is provided without any guaranteed uptime or service level. The Service may be unavailable from time to time, including for maintenance, updates or reasons outside our control.

Support is provided by email at info@infraledgers.com on a reasonable-efforts basis.

We may modify, improve or discontinue features. We will give reasonable notice before removing functionality that materially reduces the Service you have paid for.

7. Intellectual property

We and our licensors own the Service, including its software, design and documentation. Subject to these Terms, we grant you a non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes.

If you send us feedback, we may use it without obligation to you.

8. Termination

You may stop using the Service and cancel a paid subscription at any time; cancellation takes effect at the end of the current billing period.

We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law.

Following termination, Customer Data may be retained for a limited period and then deleted in accordance with our data-retention practices. Contact info@infraledgers.com before termination if you need assistance obtaining your data. [DATA RETENTION PERIOD AFTER TERMINATION]

9. Disclaimers

The Service is a tool for recording and managing project information. It does not provide engineering, legal, contractual or professional advice, and you remain responsible for decisions made using information in the Service. To the extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising out of or relating to the Service.

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms or the Service is limited to the fees you paid us for the Service in the twelve months before the event giving rise to the claim. [OWNER/LEGAL TO CONFIRM LIABILITY CAP]

11. Changes to these terms

We may update these Terms. We will post the updated version with a new effective date and, for material changes, give reasonable notice. Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of [PROVINCE] and the federal laws of Canada applicable there, and the courts of [PROVINCE/CITY] have jurisdiction. [OWNER/LEGAL TO CONFIRM]
